1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "Customer") and Ensemble Solutions Pty Ltd ABN 67 123 456 789 ("Ensemble Solutions", "we", "us", "our"), the operator of the CV Central candidate assessment platform ("Service"), accessible at cv-central.ensemblesolutions.com.au.
By accessing or using the Service, creating an account, or clicking "I Agree", you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.
If you are using the Service on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.
2. Description of Services
CV Central is an AI-powered candidate assessment and benchmarking platform that enables organisations to:
- Upload and assess candidate resumes against defined job requirements
- Score candidates across seven weighted dimensions using AI
- Generate ranked shortlists, radar charts, and exportable PDF reports
- Search and import candidates from integrated applicant tracking systems (ATS)
- Collaborate with team members to review and compare candidates
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice where practicable. We will not be liable to you for any such modification, suspension, or discontinuation.
3. Account Registration & Security
To access the Service you must register for an account. You agree to:
- Provide accurate, current, and complete registration information
- Maintain the security and confidentiality of your login credentials
- Notify us immediately of any unauthorised access or security breach
- Accept responsibility for all activity under your account
- Not share your account with others or create accounts for automated access without our prior consent
You must be at least 18 years of age to create an account. Accounts representing organisations must be created by an authorised representative of that organisation.
We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably suspect involve fraudulent activity.
4. AI Technology & Data Usage
Important: AI Data Policy
Your candidate data and resumes are never used to train, fine-tune, or improve any AI model — including our own systems and those of our AI providers.
4.1 AI Provider
CV Central uses the OpenAI Enterprise API to perform candidate assessment and resume analysis. OpenAI Enterprise is a separate, contractually governed product from OpenAI's consumer offerings and provides enhanced privacy and data handling commitments.
4.2 No Training on Your Data
Under OpenAI's Enterprise API terms and our agreement with OpenAI:
- Data submitted via API calls (resumes, job descriptions, candidate profiles) is not used to train or improve OpenAI's models
- Inputs are not retained by OpenAI for model learning or development purposes
- Your data is processed in-memory solely to generate the requested assessment output
- OpenAI may retain API inputs and outputs for a limited period only (typically 30 days) for abuse monitoring and safety purposes, after which they are deleted
4.3 Deterministic Scoring
Our scoring engine uses deterministic prompts calibrated against your specific job description and requirements. Assessments are reproducible and auditable — every score is traceable to evidence extracted directly from the candidate's resume.
4.4 AI Limitations & Human Oversight
AI-generated assessments are tools to assist human decision-making and should not be the sole basis for hiring decisions. We strongly recommend that all AI-generated scores and recommendations be reviewed by qualified human assessors before acting on them. You are responsible for ensuring that your use of AI assessments complies with applicable employment laws, anti-discrimination legislation, and your own organisational policies.
4.5 Publicly Available Candidate Research
Where you use our candidate research features, CV Central may search publicly accessible professional profiles and directories (including LinkedIn, professional websites, and job boards) to source candidate information. We only access data that individuals have made publicly available on professional platforms. You agree to use candidate research results in accordance with applicable privacy laws and to handle any personal information obtained through research in accordance with our Privacy Policy.
5. Acceptable Use Policy
You agree not to use the Service to:
- Discriminate against candidates on the basis of age, race, sex, disability, religion, national origin, or any other protected characteristic under applicable law
- Process personal information in a manner that violates the Privacy Act 1988 (Cth), Australian Privacy Principles, or any applicable privacy legislation
- Upload fabricated, fraudulent, or misleading candidate data
- Attempt to reverse-engineer, scrape, or extract data from the platform in bulk
- Introduce malicious code, viruses, or other harmful materials
- Impersonate any person or entity or misrepresent your affiliation
- Violate any applicable law or regulation, including employment and anti-discrimination laws
- Resell or sublicense access to the Service without our written consent
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund.
6. Intellectual Property
6.1 Our Intellectual Property
The Service, including its software, algorithms, scoring frameworks, user interface, branding, and documentation, is owned by Ensemble Solutions and protected by Australian and international copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service during your subscription period.
6.2 Your Content
You retain all ownership rights in the data, resumes, job descriptions, and other content you upload to the Service ("Your Content"). You grant us a limited, non-exclusive licence to process Your Content solely to provide the Service to you.
6.3 Feedback
Any feedback, suggestions, or ideas you provide about the Service may be used by us without restriction or compensation to you.
7. Privacy & Data
Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy explains how we collect, use, store, and disclose personal information in connection with your use of the Service.
Where you upload candidate personal information, you act as the data controller and we act as a data processor on your behalf. You are responsible for ensuring you have a lawful basis to process that information and for providing appropriate privacy notices to candidates.
8. Subscription & Billing
8.1 Plans and Pricing
Subscription plans and pricing are described on our Pricing page. All prices are in Australian dollars (AUD) and are exclusive of GST unless otherwise stated. GST will be added at checkout for Australian customers.
8.2 Billing and Renewals
Paid subscriptions are billed in advance on a monthly basis. Your subscription automatically renews each billing period unless you cancel before the renewal date. Payment is processed via Stripe. By subscribing, you authorise us to charge your payment method on a recurring basis.
8.3 Cancellation
You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of the current billing period. We do not provide refunds for partial months unless required by the Australian Consumer Law.
8.4 Usage Overages
If your usage exceeds your plan's assessment limit, you will receive in-app warnings at 70% and 90% of your limit. Additional assessments beyond your plan limit are charged at the rate published on our Pricing page at the time of use.
8.5 Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies any consumer guarantees, rights, or remedies that you may have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) which cannot lawfully be excluded, restricted, or modified.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Ensemble Solutions' aggregate liability to you for any claims arising out of or relating to the Service or these Terms will not exceed the amounts you paid to us in the 12 months preceding the claim.
We will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of profits, loss of data, or business interruption, even if we have been advised of the possibility of such damages.
The Service is provided "as is" and "as available". We do not warrant that the Service will be uninterrupted, error-free, or free from harmful components. AI-generated assessments are provided without warranty as to their accuracy, fitness for purpose, or completeness.
Nothing in these Terms excludes liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.
10. Indemnification
You agree to indemnify, defend, and hold harmless Ensemble Solutions, its directors, officers, employees, agents, and contractors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use of the Service in violation of these Terms
- Your violation of any applicable law or third-party rights
- Any content you upload to the Service, including candidate personal information
- Any hiring decisions made based on AI assessments generated by the Service
11. Termination
Either party may terminate these Terms and close your account at any time. We may suspend or terminate your access immediately without notice if we reasonably believe you have materially breached these Terms, engaged in fraudulent activity, or your continued use poses a risk to the Service or other users.
Upon termination, your right to access the Service ceases immediately. You may request an export of your data within 30 days of termination. After 30 days post-termination, we may delete your account data in accordance with our data retention policy, except where retention is required by law (e.g. billing records retained for 7 years under the Tax Administration Act 1953).
Provisions of these Terms that by their nature should survive termination will survive, including intellectual property, indemnification, limitation of liability, and governing law clauses.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of New South Wales, Australia, without regard to conflict of law principles. Both parties submit to the exclusive jurisdiction of the courts of New South Wales for any dispute arising under these Terms.
For US-based customers: nothing in these Terms limits any rights you may have under applicable US federal or state consumer protection laws.
13. Dispute Resolution
Before initiating any formal legal proceedings, you agree to contact us in writing to attempt to resolve any dispute informally. We will respond within 15 business days and use good faith efforts to resolve the matter.
If a dispute cannot be resolved informally within 30 days, either party may refer it to mediation administered by the Australian Disputes Centre (ADC) before commencing litigation.
14. Amendments
We may update these Terms from time to time to reflect changes to our services, legal requirements, or business practices. We will provide notice of material changes by email to your registered address and/or by a prominent notice on the Service at least 14 days before the changes take effect.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service before the effective date.
